Purpose
The meeting is being held for members to consider and, if thought fit, pass the following special resolution:
“That the existing Constitution of Waratah Beach Surf Life Saving Club Incorporated be repealed and replaced in its entirety by the replacement Constitution circulated with this notice, and that the Board be authorised to make any minor or consequential amendments required by Consumer Affairs Victoria to enable registration of the replacement Constitution.”

- Welcome and confirmation that a quorum is present.
- To consider and, if thought fit, pass the special resolution set out above to adopt the replacement Constitution.
- Close of meeting.
Why this matters
The Club’s current Constitution is dated and no longer reflects how the Club operates or what the law now requires. The replacement modernises the Board structure and elections, strengthens child safety, clarifies member categories, and aligns the Club with the Associations Incorporation Reform Act 2012 (Vic) and Life Saving Victoria’s expectations. It follows an extensive review with input from members, the Board, and the Club’s legal adviser.

How the vote works
Replacing the Constitution is a special resolution. It will pass only if at least three-quarters (75%) of the members who vote at the meeting vote in favour. Voting will be conducted by a show of hands during the meeting, and the chairperson may conduct a count or poll to record the result.
For the meeting to proceed, at least 10 voting members must take part. To be eligible to vote your membership must be current and financial under the Club’s existing Constitution. If you are unsure whether your subscription is up to date, please check with the Club before the meeting so that your vote counts.
